You will leverage your deep understanding of legal and corporate documents, and assist the team in a wide range of tasks.Reporting to the Senior Legal Counsel, you will collaborate closely with attorneys, paralegals and legal assistants, and cross-functional teams to ensure legal matters are handled efficiently and effectively.Responsibilities:Human Resources:
  • Prepare offers letters, NDAs, employment contracts, agreements, etc.
  • Review the potential candidate's CV, work related visa status and raise any potential issues.
  • For terminations, gather details and draft separation agreement; communicate payout, prepare COBRA notices, Resignation Acknowledgement letters, etc.
  • Monitor employee work visas to ensure they may continue to legally work for the company.
Corporate Entity Management:
  • Ensure annual filings for all entities are submitted on time (Registered Agents, State filings).
  • Maintain Minute Books
  • Manage signatures for annual resolutions.
Intellectual Property:
  • Maintain Trademark portfolio (applications, registrations, office actions).
  • Keep spreadsheets and files up-to-date.
  • Gather material/evidence for application and litigation matters as required.
Immigration Matters:
  • Work closely with Immigration lawyers on complex files.
  • Collect whatever is needed from applicant and also collect company information to be used in preparation of the application.
  • Review and proofread support letters and forms for applications that will need to be finalized by management.
  • Monitor and follow up on applications already in progress.
Legal Team Support:
  • Support the Legal Team as required to draft/revise agreements such as releases, NDAs, suppliers, educators, influencers, photographers, models, insertion orders, etc.
  • Prepare distributor agreements, notices of co-distribution, amending agreements as required.
  • Process settlement release agreements as required.
  • Prepare contest and giveaways Terms & Conditions and releases.
  • Monitor Image Usage rights and prepare communications for expiring model images.
Requirements:
  • Minimum 5+ years experience in a similar role.
  • Diploma of Collegial Studies in paralegal technology or other combination of relevant training/experience.
  • Proficient in Microsoft Office Suite (including Word, Excel and Outlook)
  • Good writing skills.
  • Meticulous/attentive to detail.
  • Ability to maintain confidential and sensitive information.
  • Commissioner of Oaths or Notary Public (or equivalent) would be an asset.
